1. Acceptance of Terms
By creating an account, accessing, or using the software-as-a-service platform known as ForestTrack ("the Service"), provided by StealthBooks, Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms").
If you are entering into this agreement on behalf of a company or other legal entity (such as a forestry consulting firm), you represent that you have the authority to bind such entity to these Terms. If you do not agree, you must not use the Service.
2. Account Access & "No Sharing" Policy
2.1 Eligibility
You must be at least 18 years of age to use the Service. The Service is intended for professional use by forestry consultants, land managers, and their authorized staff.
2.2 Authorized Users & No Login Sharing
Your subscription is priced based on the number of "Authorized Users" (seats) you purchase.
- Named User Basis: Each login credential (username/password) is for a single, specific individual ("Authorized User").
- Prohibition on Sharing: You may not share login credentials among multiple individuals. For example, you may not create a generic account (e.g.,
crew@forestryfirm.com) for multiple field staff to share. Every human accessing the software must have their own unique seat. - Reassignment: You may permanently reassign a seat to a new user if an employee leaves your company, but you may not rotate a single seat among multiple current employees to avoid paying for subscriptions.
- Security: You are responsible for maintaining the confidentiality of your login credentials. We are not liable for any loss or damage arising from your failure to secure your account.
3. Professional Responsibility (The "Forester" Clause)
ForestTrack is a tool, not a Registered Professional Forester (RPF) or accountant.
3.1 No Professional Advice
You acknowledge that the Service provides data organization, calculation, and reporting tools, but it does not replace your professional judgment, training, or ethical obligations.
- Verification Required: You agree to verify all critical outputs—including financial reporting—using your own independent methods before relying on them for real-world decisions.
- No Certification: We do not certify harvest plans, sign off on regulatory submissions, or guarantee the biological accuracy of growth models. You accept full responsibility for all forestry and land management decisions made using data from our Service.
3.2 Financial & Accounting Features
Our accounting features are designed for project management and accounting.
- Not a CPA: We are not providing tax, legal, or accounting advice.
- Tax Compliance: You are solely responsible for ensuring your invoices and financial records comply with local tax laws and IRS regulations.
3.3 Accounting & Financial Disclaimers
You acknowledge that ForestTrack includes features that allow you to track project costs, time entries, estimate revenues, and generate invoices. However, you agree to the following strictly defined limitations:
- A. Not a Fiduciary or Bank: ForestTrack is a technology provider, not a bank, trust company, or fiduciary. We do not hold, process, or transfer funds on behalf of your clients (landowners) or employees. We merely record the data you enter.
- B. No Tax or Accounting Advice: The Service does not constitute professional accounting, tax, or legal advice. You remain solely responsible for complying with all applicable tax laws (including 1099 reporting) and regulatory requirements.
- C. Verification of Financial Outputs: Before you rely on any financial report, invoice, or generated by the Service to:
- Pay a landowner or contractor;
- File a tax return; or
- Apply for a loan;
You agree to verify the accuracy of the data independent of the Service. We are not liable for any underpayments, overpayments, tax penalties, or audits resulting from errors in the Service’s calculations or your data entry.
- D. "Trust Accounting" Risk: If you use the Service to track client funds (e.g., timber sale deposits), you are solely responsible for reconciling those figures against your actual bank statements. ForestTrack does not integrate with your bank account to verify real-time balances
4. Data Ownership & Licenses
4.1 Distinction of Data
- Subscriber Content: You retain full ownership of all data you upload to the Service, including client lists, projects, project notes, and accounting data ("Subscriber Content"). We claim no intellectual property rights over your data.
- Account Data: We own the administrative data necessary to run your account (e.g., your subscription history, login logs, and usage metadata).
4.2 License to Host
You grant us a worldwide, royalty-free, non-exclusive license to host, copy, transmit, and display your Subscriber Content solely as necessary to provide the Service to you (e.g., to show you your own maps).
- No Sale of Data: We do not sell Subscriber Content to third parties.
- No AI Training: We do not use your Subscriber Content to train generalized Artificial Intelligence (AI) or Machine Learning (ML) models for the benefit of other customers.
5. Subscription & Payment
5.1 Billing
The Service is billed on a subscription basis ("Subscription Fees"). We use Square as our third-party payment processor. By providing payment information, you authorize us (via Square) to charge your chosen payment method for the Subscription Fees.
5.2 Non-Payment
If we are unable to process your payment, we may suspend your access to the Service until your account is brought current. We are not liable for any data loss or business interruption resulting from a suspension due to non-payment.
5.3 Cancellation
You may cancel your subscription at any time via your account settings. Upon cancellation, you will continue to have access to the Service through the end of your current paid billing period. All fees are non-refundable.
6. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any local, state, or federal laws.
- Reverse engineer, decompile, or attempt to extract the source code of the software.
- Use the Service to build a competitive product or service.
- Upload viruses, malware, or any content that infringes on the intellectual property rights of others.
7. Disclaimer of Warranties ("As Is")
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEALTHBOOKS, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
SPECIFIC DISCLAIMER ON CALCULATIONS: WE DO NOT WARRANT THAT THE CALCULATIONS, ESTIMATES, OR REPORTS GENERATED BY THE SERVICE WILL BE ERROR-FREE. FORESTRY CALCULATIONS INVOLVE COMPLEX VARIABLES, AND SOFTWARE BUGS MAY OCCUR. YOU ASSUME THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SERVICE.
8. Limitation of Liability
IN NO EVENT SHALL STEALTHBOOKS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:
- INDIRECT DAMAGES: CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, LOST TIMBER VALUE, OR LOSS OF GOODWILL).
- DATA LOSS: DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION.
TOTAL LIABILITY CAP: OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless StealthBooks, Inc. from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of:
- Your use of the Service (including any forestry decisions made based on our data).
- Your violation of these Terms.
- Your violation of any rights of a third party (e.g., if you upload a map that infringes on a neighbor’s property rights).
10. Term & Termination
- Term: These Terms remain in effect as long as you use the Service.
- Termination by Us: We may terminate or suspend your account immediately if you breach these Terms (e.g., sharing logins or non-payment).
- Effect of Termination: Upon termination, your right to use the Service ceases immediately. You will have a period of 30 days to request an export of your Subscriber Content, after which your data may be permanently deleted.
11. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions.
- Venue: Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in El Dorado County, California, and the parties irrevocably consent to the personal jurisdiction and venue there.
